1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "You," or "Parent") and AI BRAINS LABS LLC, a Limited Liability Company organized under the laws of the State of New Jersey ("Company," "We," or "Us").

By downloading, accessing, or using any mobile application or software service provided by the Company (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility & Accounts

2.1 Age Requirement

The Services are intended for users who are 18 years of age or older. By creating an account, you represent and warrant that you are at least 18 years old.

2.2 Parent/Guardian Responsibility

If the Service allows for the creation of a profile for a minor (e.g., for our AI Tutor application), you acknowledge that You (the Parent/Guardian) are the account holder. You are solely responsible for:

• (a) Providing verifiable consent for your child's use of the Service;
• (b) Supervising your child's interactions with the AI; and
• (c) Any activity that occurs under your account or authorized child profiles.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

3. Artificial Intelligence Disclaimer

Our Services utilize Generative Artificial Intelligence ("AI") provided by third parties (including Google Cloud Vertex AI). By using the Services, you acknowledge and agree to the following:

3.1 Accuracy Not Guaranteed

AI is probabilistic and may generate ("hallucinate") incorrect, outdated, or misleading information. You should not rely on the App as a sole source of truth.

3.2 No Professional Advice

The App is a tool for information and planning only. It does not provide medical, legal, financial, or professional safety advice.

3.3 Assumption of Risk

If you act on AI suggestions (e.g., travel destinations, hiking trails, chemistry experiments), you do so at your own risk. You agree to independently verify the safety and accuracy of all advice before taking action.

4. Event, Travel & Vendor Disclaimer

For users utilizing our Services for planning special moments, events, or travel:

4.1 Suggestions Only

The App may suggest third-party venues, vendors, service providers, or locations (collectively, "Third-Party Suppliers"). These are AI-generated suggestions based on public data. This does not constitute an endorsement, vetting, or partnership.

4.2 User Responsibility

We do not guarantee the availability, pricing, safety, insurance status, or quality of any Third-Party Supplier. It is your sole responsibility to contact vendors, review their contracts, and verify their credentials before making deposits or bookings.

4.3 Release of Liability

AI BRAINS LABS LLC is not a party to any transaction between you and a Third-Party Supplier. You hereby release us from any claims, damages, or disputes arising from your interactions with such suppliers (e.g., venue cancellations, poor service, lost deposits, or personal injury at an event).

5. User Conduct

You agree strictly NOT to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to "jailbreak," manipulate, or inject malicious prompts into the AI to generate violent, sexual, hateful, or self-harm-related content.
• Harass, abuse, or harm another person or entity via the Service.
• Reverse engineer or attempt to extract the source code or proprietary prompts of the App.

We reserve the right to suspend or terminate your account immediately if you violate these rules.

6. Intellectual Property

6.1 Company Rights

All rights, title, and interest in the Services (including software, design, logos, and AI agent configurations) are owned by AI BRAINS LABS LLC.

6.2 User Content

You retain ownership of the text inputs you provide. However, you grant us a worldwide, royalty-free, non-exclusive license to use that input to provide the Service and improve our AI capabilities (subject to our Privacy Policy and Enterprise Data agreements).

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY NEW JERSEY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI SUGGESTIONS WILL BE ACCURATE, SAFE, OR FREE FROM ERROR.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AI BRAINS LABS LLC (AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless AI BRAINS LABS LLC from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party (including Third-Party Suppliers).

10. Governing Law & Dispute Resolution

10.1 Jurisdiction

These Terms shall be governed by the laws of the State of New Jersey, without regard to its conflict of laws principles.

10.2 Venue

Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in Essex County, New Jersey.

10.3 Class Action Waiver

You and the Company agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the App or via email. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
